| 1. |
Unless stated
otherwise, all prices quoted are FOB shipping point. Sales tax,
insurance, freight and handling charges may be added unless
customer is exempt. Ask for a Resale Form if it is applicable in
your case. You must complete the form first, in order to receive
product. |

| 2. |
Prices quoted do not include
installation services unless specified. NDS will confirm in
writing the inclusion of installation service, whether
integrated with other items or quoted separately as a line item.
Nationwide Data Systems (NDS) offers other types of services
including training, system integration, networking, technical
consultation and selective repairs. |

| 3. |
Acceptable payment terms |

On
first order, prepayment through one of the following: |

2. |
Bank
check, cashiers check, company or personal check, paid in
advance and requires clearing or collection prior to product
shipment. |

VISA/MasterCard/AMEX with a 3% accounting processing fee (this
fee is collected by the credit card company). You may advise
your credit card number by phone, e-mail or fax. |

b. |
For
succeeding orders, either prepayment or net terms with approved
credit. An NDS Credit Application form will be faxed or mailed
upon your request. Processing of credit application may take up
to several days depending on a number of factors. |

| 4. |
Orders
are immediately processed for same day shipping, if possible.
Delivery of most items will be within 1-5 working days after
receipt of payment, depending on UPS and/or truck delivery
schedules. As a Value Added Reseller/Dealer, Nationwide Data
Systems does not agree to any type of delivery/shipping penalty
clause. |

Prices
may change at anytime as our vendors reserve the right to alter
their prices without prior notice. However, prices on orders
already received and processed will remain firm. |

| 6. |
No
returns after 30 days. Any order cancellation or product return
under a valid RMA (Return Merchandise Authorization) number is
subject to a restocking fee charged by our vendor/distributor.
This fee is normally 15% to 20% of the product originally
ordered depending on the vendor. |
